ABOUT THE ROLE

Our client is seeking a mid-level Associate (approximately 3-6 years of experience) to join our Finance, Banking and Restructuring practice group. This associate will work on commercial finance, banking, and restructuring/insolvency matters, with direct client contact and significant responsibility for drafting and negotiating transaction documents. The role offers exposure to a broad range of finance work, including corporate and commercial lending, asset-based and equipment finance, workouts, and bankruptcy/creditors' rights matters.

RESPONSIBILITIES

- Draft, review, and negotiate loan documents, credit agreements, security agreements, and related financing documentation

- Represent lenders and/or borrowers in bilateral and syndicated lending transactions

- Advise on restructuring, workout, and insolvency matters, including out-of-court restructurings and bankruptcy proceedings

- Support asset-based, equipment, and trade finance transactions

- Communicate directly with clients and outside counsel throughout the transaction lifecycle

- Conduct due diligence and legal research on finance, banking, and restructuring issues

- Coordinate with attorneys in other practice groups (real estate, corporate, tax) on cross-functional matters

- Work independently on discrete transactions while collaborating with partners and senior associates on larger deals

QUALIFICATIONS

- J.D. from an accredited law school with strong academic credentials

- Approximately 3-6 years of experience in commercial finance, banking, and/or restructuring practice at a law firm

- Admission to the state bar where the position is based (or eligibility for admission/reciprocity)

- Strong legal drafting and negotiation skills

- Demonstrated ability to manage transactions and work independently with appropriate oversight

- Excellent written and verbal communication skills

- Strong academic and professional references

PREFERRED EXPERIENCE

- Prior experience with syndicated or bilateral lending transactions

- Experience with bankruptcy, workout, or creditors' rights matters

- Experience representing financial institutions or institutional lenders

COMPENSATION

Salary is commensurate with experience and qualifications. Comparable roles in the market for this experience range are generally benchmarked between $220,000 and $350,000 annually.
